Terms and Conditions of Service

These Terms govern your use of Bonimmo — both the public site and the operator portal — and form an agreement between you and ESTRAGITAL Sociedad por Acciones Simplificada de Capital Variable, with registered address at Prol. de San Fernando 100, San Andrés Huayapam, Oaxaca, C.P. 68287, México, which operates Bonimmo; hereafter "Bonimmo" refers to that entity. By creating an account, publishing content, subscribing to a plan, or simply using the site, you accept what is described here. If you do not agree, please refrain from using the service. For questions about these Terms, write to info@bonimmo.org. This English version is provided for convenience; the Spanish version governs.

1. What Bonimmo is and is not

1.1 Nature of the service

Bonimmo is a platform that connects people looking for property with those offering it — owners and independent real estate advisors — and gives them tools to publish, discover, compare, and manage property information.

1.2 What Bonimmo does not do

Bonimmo is NOT a real estate agency. It does not provide brokerage or intermediation services, does not perform appraisals or valuations, does not advise on transactions, does not represent any party, and is not a party to the sale or lease of any property. Operating the platform does not transfer to Bonimmo the professional functions of the owners, advisors, or third parties who use it.

1.3 Advisors are independent

Real estate advisors operating on the platform are independent professionals. They are not employees, partners, representatives, or agents of Bonimmo, and Bonimmo is not liable for their acts, omissions, statements, charges, or for the performance of any agreement they enter into with you. Any contract concerning a property is entered into directly between you and the other party.

1.4 No professional licences or certifications

Bonimmo does not grant, endorse, or process professional licences, memberships, certifications, or authorisations of any kind. A person's presence on the platform does not mean they hold any, nor that Bonimmo has assessed their professional competence.

1.5 Information is supplied by users

Each property's details — price, features, location, availability, legal status, and photographs — are supplied by whoever publishes them, not by Bonimmo. Verify them independently before making any decision. Nothing published on the platform constitutes legal, tax, financial, or investment advice.

2. Your account

2.1 Registration

Browsing the public site requires no account. Saving favourites, contacting an advertiser, publishing, or subscribing to a plan does require registering with accurate information and keeping it current.

2.2 Security

You are responsible for activity carried out from your account and for safeguarding your credentials. Notify us at info@bonimmo.org as soon as you suspect unauthorised access. Each origin of the service keeps its own session: signing out of one does not sign you out everywhere, for which a separate action exists.

2.3 Several uses under one account

The same person may use the platform as a seeker, a provider, and an advisor at once. Each of those uses has its own subscription and its own capabilities; what you can do is the sum of what you have enabled, and subscribing to one does not enable the others.

2.4 Closing your account

Deleting your account and data is handled as a data rights request rather than a button, because it requires reviewing what information must be retained by legal obligation and what may be erased. Request it from the Data Rights page or by writing to info@bonimmo.org.

3. Identity verification

3.1 When it is required

Operating in the portal — publishing, editing, or managing properties and contacts — requires verifying your identity. Browsing the public site, holding an account, and managing your own personal data do not.

3.2 How it works

Verification is carried out by a specialised provider acting as our processor. Capture of your official identification and liveness proof happens in that provider's environment; Bonimmo does not store those images. Processing biometric data requires your prior express consent, which you may withhold. Details are in the Privacy Notice.

3.3 What it means and what it does not

Verification confirms that the declared identity corresponds to a real person. It is not an assessment of solvency, background, honesty, or professional competence, and it is not an endorsement of that person by the platform.

3.4 Rejected verification

When a verification is rejected we retain the outcome, and your account may be barred from operating for a bounded period. Detection of one person opening several accounts is performed by our processor against the file it holds: we retain neither your tax ID, nor your document number, nor any value derived from them for that purpose. Conditions and processing are set out in the Privacy Notice.

4. Publishing properties

4.1 Minimum requirements

Publishing a listing requires verified identity, a price greater than zero, at least one photograph, and complete owner contact details. If any is missing, the listing is not published.

4.2 Publication is immediate

Listings are published immediately. Bonimmo does NOT review, approve, validate, or edit content before publication, and offers no prior review period. There is no approval queue.

4.3 You are responsible for what you publish

By publishing, you represent that the information is accurate and current, that you are authorised to offer the property on the advertised terms, and that you hold the rights to the photographs and other material you upload. Publishing a property that is not available, at a price that is not real, or without authority to offer it, breaches these Terms.

4.4 Withdrawal is always possible

Withdrawing or unpublishing a listing is never conditioned on identity verification, plan limits, or any other restriction. Reducing your own exposure is never blocked.

4.5 Removal by the platform

Bonimmo may unpublish, hide, or delete content that breaches these Terms, the law, or third-party rights, and may do so without prior notice where the breach is manifest or the risk warrants it. We will inform you where reasonably possible.

4.6 Location

For privacy and safety, a property’s exact location is not shown publicly: the public projection is approximate. Precise location is shared in the context of a specific engagement, not in the open catalogue.

5. Listing ownership and administration

5.1 Two distinct roles

Each listing may have an owner and an administrator. The owner holds the interest in the property. The administrator handles operation: publishing, editing, withdrawing, and managing the listing. They may be the same person or different people.

5.2 What the owner can do

The owner appoints, revokes, or retains administration of their listing. Being the owner does not by itself allow editing, publishing, or withdrawing: those belong to the administrator. Being the owner also does not consume your plan allowance.

5.3 What the administrator can do

The administrator exercises full operation over the listing, and applicable limits are counted against their plan. The administrator cannot transfer administration to themselves or assign it unilaterally.

5.4 Transfer requires consent

Administration transfers only when the owner offers it and the recipient accepts. Neither party can complete the transfer alone. On acceptance, administration and the listing’s public face change in a single act.

5.5 Revocation

The owner may revoke administration at any time, with no verification or plan requirement. On revocation the listing is unpublished and loses any featured placement; removing a third party’s authority over what is yours is never blocked.

5.6 Listings without an administrator or owner

A listing without an administrator is frozen: it cannot be published or edited until one is appointed. A listing without an identified owner can be published normally but cannot carry verification marks.

6. Plans, charges, and subscriptions

6.1 Plans by type of use

There are independent plans for seekers, providers, and advisors. No plan is activated automatically: you choose it, and none starts running unless you ask for it. All of them, the free plan included, require verified identity. The capabilities, limits, and current price of each plan are published on the plans page, which is their authoritative source; these Terms do not reproduce them because they may change.

6.2 Recurring charges

Paid plans are charged monthly and on a recurring basis to the card you register, through our payment processor, until you change or leave them. Your full card details are handled by the processor; the platform does not store them.

6.3 Plan changes

Upgrades take effect immediately and are charged pro rata, only for the remainder of the current month. Downgrades are scheduled for the end of the period you already paid for: you keep the contracted plan until that date.

6.4 Leaving a paid plan voluntarily

As a seeker or provider, leaving a paid plan means returning to the free plan. As an advisor, it means suspending: we stop charging you and your information is frozen as it stands. On reactivation, one month is charged and the monthly cycle restarts that day.

6.5 Failed payment

If a charge fails, you have a grace period of 7 calendar days to resolve it before the plan is treated as lapsed. Lapsing does not delete your information.

6.6 No plan change destroys what you created

No transition — upgrade, downgrade, suspension, lapse, or failed payment — deletes information you created. Anything exceeding the new plan’s limits is unpublished and kept as a draft, and becomes available again if you upgrade. Where the excess must be reduced, you choose what to keep.

6.7 Free plan

The free plan does not expire and requires no card, and it is activated when you choose it from the plans page. Its limits are those published there.

6.8 Trial periods

Where a trial is offered, no card is required to start it and one trial applies per type of use. No charge is made during the trial. When it ends, if you have not registered a card, the plan closes automatically and nothing is charged; your account and your information are kept. If you register a card before it ends, charging begins when the trial finishes unless you change or leave the plan beforehand.

6.9 Cancellation and refunds

You may leave a paid plan at any time from the plans page; it takes effect at the end of the period already paid, and you keep the contracted service during that time. Periods already started are not refunded, except where applicable law requires it or where the charge resulted from an error attributable to the platform.

6.10 Price changes

Prices may change. Any price change will be communicated with reasonable advance notice and will never apply to a period you have already paid for. If you do not accept the new price, you may leave the plan before it takes effect.

7. Tax receipts

7.1 Tax details

If you require a tax receipt, you must register your tax details — tax ID, legal name, postal code of your tax domicile, regime, and intended use — and keep them correct. They are your responsibility: a receipt issued with incorrect details you provided may not be correctable.

7.2 Issuance

Receipts are issued using the information registered at the time of the charge, in accordance with applicable tax rules. Validation before the tax authority is performed by the relevant authorised provider.

8. Registered transactions and platform fee

8.1 What it is

Advisors may register the transactions they close on the platform. Registration supports the advisor’s track record and feeds their position in the public ranking.

8.2 Voluntary platform fee

Registering a transaction is voluntary and so is its fee: Bonimmo does not require it, does not penalise anyone who does not pay it, and does not pursue collection. If it is not paid, the transaction simply is not registered. The fee is a percentage of the total value of the transaction — never of the commission the advisor agrees with the owner — and it is not a single rate: the applicable rate depends on the type of transaction and, for leases, on the term of the contract, calculated on that contract's total value. Today it is 1% for sales and 2% for leases longer than twelve months. You will be told the applicable rate before any payment. It is a fee for use of the platform, not a brokerage commission.

8.3 Commissions are outside the platform

The owner pays the advisor directly whatever commission they agreed between themselves. Bonimmo does not collect, withhold, hold, or distribute that commission, is not a party to that agreement, and does not guarantee its payment. Any commission split the platform suggests is indicative and binds no one.

8.4 When a transaction counts

A transaction counts towards the ranking when the counterparty has confirmed it and the platform fee has been paid. Until then it is recorded but does not score. Not paying it creates no debt and has no other consequence: the transaction simply does not score.

8.5 What registration does not establish

Registering a transaction is a statement by its participants, not an independent verification. Bonimmo does not attest to legal closing, does not validate the amount, does not act as escrow agent or notary, and the record does not replace any deed, contract, or receipt.

8.6 Ranking

The public advisor ranking derives from transactions meeting 8.4, weighted by amount and by age. It is not an assessment of quality, honesty, or professional competence, and it is not a recommendation.

9. Content, conduct, and intellectual property

9.1 Licence over what you publish

Content you upload remains yours. By uploading it you grant Bonimmo a non-exclusive, worldwide, royalty-free licence to host, reproduce, technically adapt, and display it for the purpose of operating and promoting the service. Clause 9.6 explains what that means on our social media and how to keep a listing out of it. The licence ends when you remove the content, except for technical backup copies and anything that must be retained by legal obligation.

9.2 Third-party rights

Do not upload photographs, text, floor plans, or trade marks you do not hold rights to. If we receive a sufficiently substantiated infringement notice, we may remove the identified content.

9.3 Prohibited conduct

It is prohibited to publish false or misleading information; impersonate another person; advertise properties without authority to offer them; discriminate in the terms of an advertisement; scrape data automatically; attempt to compromise platform security; use contact details obtained for purposes unrelated to the specific property matter; or create accounts to evade a suspension.

9.4 Reviews and ratings

Reviews about people must be made in good faith and describe a real experience. Do not publish assertions you cannot support. We may remove reviews that breach this, and reviewers are responsible for what they assert.

9.5 Brand

The Bonimmo name, logo, site, software, and design belong to it and are not licensed by virtue of using the service.

9.6 Sharing a listing on our social media

The licence in clause 9.1 allows us to display a published listing — including its photographs — on Bonimmo's social media profiles, in order to promote the service. Whoever owns or administers the listing may ask for it to be kept out of that sharing by writing to info@bonimmo.org: we leave it out and it stops being used in promotional material. Asking does not remove the listing from the site or change anything about its publication. We do not share photographs showing identifiable people on social media, and we do not name an advisor in a post without their agreement.

10. Suspension and termination

10.1 By you

You may stop using the service at any time. The consequences for paid plans are those in section 6.

10.2 By us

Bonimmo may suspend or terminate access for an account that breaches these Terms or the law, or whose activity poses a risk to other users. Where the breach allows, we will give notice and an opportunity to remedy it.

10.3 Effect

Termination does not extinguish obligations already accrued, nor affect sections that by their nature survive, such as intellectual property, limitation of liability, and governing law.

11. No warranties and limitation of liability

11.1 Service provided as is

Bonimmo provides the service as is and as available. We do not guarantee uninterrupted availability, freedom from errors, response times, delivery of contacts, or commercial results of any kind, and we do not offer a service level agreement.

11.2 Third-party content

We do not guarantee the accuracy, currency, or legality of information published by other users, nor the conduct of those who use the platform. Bonimmo is not liable for agreements, payments, or disputes between you and a third party.

11.3 Limitation

To the extent permitted by law, Bonimmo’s total liability to you for any claim relating to the service will not exceed the amount you paid Bonimmo in the twelve months preceding the event giving rise to it. Nothing in these Terms limits liability that cannot be excluded under applicable law, nor the rights consumer protection legislation affords you.

12. Features not yet enabled

12.1 Scope of this section

This section describes features that are NOT available today. It is published for transparency, so you know in advance the rules that will govern them. No obligation described here is enforceable against you while the feature is not enabled on your account and you have not been notified; on enablement, these Terms will be updated with their final wording.

12.2 Listing verification mark

Where it exists, a listing mark will mean a specific and checkable assertion, always accompanied by what was reviewed, the date, and who asserts it. Where an advisor attests, it will display under their name and responsibility for that assertion will be theirs, not the platform’s. The mark will expire on its own, without intervention, and a listing without an identified owner will not be able to carry it.

12.3 Availability reports

Where they exist, they must be made in good faith, with verified identity and with evidence; never anonymously. False reporting will carry consequences for the reporter. The reporter’s identity will not be disclosed to the reported party.

12.4 Advisor cooperation and teams

Where it exists, a listing may be shared with other verified advisors without becoming public, always keeping a single administrator and attribution to whoever originated it. Teams will be sharing lists, not organisations: no shared billing, no common inventory, and free exit.

12.5 Referral programmes and future plans

Any referral programme, promotional credit, or additional plan will be governed by the conditions published at its launch. Mentioning them here is neither an offer nor a commitment to launch them. The referral programme’s conditions are already published on this site, under the title "Referral programme terms", and govern that programme on the footing of this clause. Publishing them does not enable it: while it is not enabled on your account, no referral is credited and no reward is granted.

13. Final provisions

13.1 Privacy

The processing of your personal data is governed by the Privacy Notice, which forms an integral part of these Terms.

13.2 Changes to these Terms

We may update these Terms. We will publish the current version on this page with its date. Where a change is substantive, we will communicate it with reasonable advance notice; continuing to use the service after it takes effect means you accept it.

13.3 Governing law and jurisdiction

These Terms are governed by the laws of the United Mexican States. For their interpretation and performance, the parties submit to the competent courts of Oaxaca de Juárez, Oaxaca, without prejudice to the rights consumer protection legislation affords consumers, including the jurisdiction of the relevant authority.

13.4 Entire agreement

If any clause is held invalid, the remainder stay in force. Our not enforcing an obligation at a given time does not mean we waive enforcing it later.
